Terms and Conditions of Service

1. Introduction

Welcome to McGeralds Entrepreneurship Centre (referred to as “McGeralds”, “we”, “us”, “our”). We provide comprehensive support services to Small, Medium, and Micro Enterprises (SMMEs), including Enterprise Development, Supplier Development, and Socio-Economic Development facilitation (the “Services”).

These Terms and Conditions (“Terms”) govern your access to and use of our Services, our website, the Propella application (“Propella App”), and any other platforms or content we provide.

By accessing our website, registering for our programmes, or using our Services, you (“User”, “you”, “your”) agree to be bound by these Terms and our separate Privacy Policy. If you do not agree to these Terms, you must not use our Services.

 

2. Our Services

Our Services include, but are not limited to:

  • Structured SME Mentorship and Business Support.
  • Access to the Propella App for programme management, communication, and reporting.
  • Facilitation of Enterprise Development, Supplier Development, and Socio-Economic Development programmes on behalf of our corporate partners.
  • Initiatives related to supply chain transformation and SMME capital raising.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

 

3. Personal Information and POPIA Consent

The Protection of Personal Information Act 4 of 2013 (POPIA) governs how we process your Personal Information.

3.1. Responsible Party: McGeralds Entrepreneurship Centre is the “Responsible Party” for the Personal Information we process in providing our Services to you.

3.2. Consent to Process: By accepting these Terms, you provide your voluntary, specific, and informed consent for us to collect, use, store, and process your Personal Information (as defined by POPIA).

3.3. Purpose of Processing: We will only process your Personal Information for legitimate business purposes, which include: * Registering you for our programmes. * Providing you with the Services, including mentorship and support. * Granting you access to and managing your account on the Propella App. * Communicating with you regarding programme updates, meetings, and opportunities. * Reporting to our corporate sponsors and partners (e.g., Nedbank Limited, Netcare Limited) on programme progress, attendance, and outcomes. This reporting is a key part of our service fulfilment. * Complying with legal and regulatory obligations.

3.4. Privacy Policy: These Terms must be read in conjunction with our separate Privacy Policy. Our Privacy Policy provides more detail on what information we collect, how we secure it, who we share it with, and your rights as a data subject under POPIA (including your right to access, correct, or object to the processing of your information).

 

4. User Conduct and Obligations

You agree to:

  • Provide accurate, current, and complete information during registration and to update it as necessary.
  • Maintain the confidentiality of your account credentials for the Propella App and any other systems we provide.
  • Use our Services and platforms in a lawful manner and not for any fraudulent or malicious purpose.
  • Not attempt to reverse-engineer, decompile, or otherwise access the source code of the Propella App.
  • Treat our staff, mentors, and other programme participants with respect.

 

5. Intellectual Property

All content, materials, and intellectual property associated with our programmes, including our brand, logos, and the Propella App, are the exclusive property of McGeralds or our licensors. We grant you a limited, non-exclusive, non-transferable licence to use these resources solely for your participation in our programmes.

You retain all ownership rights to your own pre-existing business data, trade secrets, and intellectual property.

 

6. Confidentiality

During our engagement, both parties may be exposed to confidential information. We agree to treat your proprietary business information as confidential. Likewise, you agree to treat any non-public information about McGeralds, our processes, or our other clients as confidential.

 

7. Disclaimer and Limitation of Liability

 

7.1. No Guarantee of Success: Our Services consist of support, mentorship, and facilitation. We do not provide financial, legal, or tax advice. We do not guarantee any specific business outcome, funding, or commercial success as a result of participating in our programmes.

7.2. “As-Is” Basis: Our Services and the Propella App are provided on an “as-is” and “as-available” basis without warranties of any kind.

7.3. Limitation of Liability: To the fullest extent permitted by law, McGeralds (including its directors, employees, and partners) shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to, loss of profits, data, or business opportunities, arising from your use of (or inability to use) our Services.

 

8. Termination

We reserve the right to suspend or terminate your access to our Services and the Propella App if you breach these Terms. You may terminate your relationship with us at any time by providing written notice, subject to any specific programme agreements you may have signed.

 

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of South Africa. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the South African courts.

 

10. Amendments to These Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website or through the Propella App. Your continued use of the Services after such notification constitutes your acceptance of the new Terms.
